2023 Annual Equity Distribution Implementation Announcement

I. Profit Distribution Plan Approved by the Shareholders' Meeting

1. Hunan Zhengqing Pharmaceutical Group Co., Ltd. (hereinafter referred to as the "Company") held its 2023 annual shareholders' meeting on June 28, 2024, and approved the "Company's 2023 Profit Distribution Plan." The plan is as follows: Based on the total share capital of 204,270,346 shares, a cash dividend of RMB 1 (including tax) per 10 shares will be distributed to all shareholders, totaling RMB 20,427,034.6 (fixed total distribution amount). The remaining distributable profits will be carried forward to the next year. The company will not distribute bonus shares or capitalize capital reserves in 2023.

2. The company's total share capital remained unchanged from the disclosure of the distribution plan to its implementation.

3. The implemented distribution plan is consistent with the plan approved by the shareholders' meeting.

4. The implementation of the distribution plan is within two months of its approval by the company's shareholders' meeting.

II. Profit Distribution Plan

The company's 2023 profit distribution plan is as follows: Based on the existing total share capital of 204,270,346 shares, RMB 1 (including tax) in cash will be distributed per 10 shares to all shareholders.

III. Tax Deduction Explanation

1. Individual shareholders' personal income tax will be withheld and remitted by the company in accordance with relevant tax laws.

2. The company will not withhold or remit income tax for investment fund companies, other institutional investors, and corporate shareholders. Taxpayers should pay taxes at the place where the income is generated.

IV. Dividend Payment Date

1. Record date: July 15, 2024 (Monday);

2. Ex-dividend date: July 16, 2024 (Tuesday).

V. Dividend Recipients

All shareholders of the company registered with Hunan Equity Registration Management Center Co., Ltd. by 5:00 PM on July 15, 2024.
