一、办理对象

依法持有本公司股份的全体股东。

二、办理内容

完善、更新股东姓名/名称、身份证号码/组织机构代码和持股数量等信息。

五、注意事项

1、本次核查的目的是核对、收集股东相关信息。当事人之间就本公司股份的权属存在或产生争议的，以主管司法机关的裁决为准。

2、股东未能参与本次核查并提供托管账户号等信息的，其所持本公司股份日后公开转让可能受到影响，望各位股东相互转告、积极参与。

股东确权所需资料：

（一）  股东信息核查须提供文件 / 信息清单（自然人股东）

请注意： 1 、以下清单中标“ * ”所示原件仅供审查之用，验完即退； 2 、同时具备两种及以上情形的，须同时提供所属各类情形所要求的文件。

1、  股东本人

（ 1 ）填写妥当的《股东信息核查表》 ( 原件一份（格式见附表 1 ，表格请于核查现场领取、填写）；

（ 2 ）原湖南省证券登记公司发放的证券账户卡（黄卡）原件及一份复印件；

（ 3 ）股东本人身份证原件 * 及一份复印件；

（ 4 ）如委托他人代办，还需提供代办人身份证原件 * 及一份复印件，并提供经公证的授权委托书原件一份（格式见附表 2 ）；

2、  股东死亡

（ 1 ）填写妥当的《股东信息核查表》原件一份（格式见附表 1 ，表格请于核查现场领取、填写）；

（ 2 ）原湖南省证券登记公司发放的证券账户卡（黄卡）原件及一份复印件；

（ 3 ）股份继承人身份证原件 * 及一份复印件；

（ 4 ）股东死亡证明原件 * 及一份复印件；

（ 5 ）股份继承人与死亡股东的亲属关系证明原件 * 及一份复印件；

（ 6 ）与股份有关的法院判决书、调解书等生效司法文书原件 * 及一份复印件、股份继承公证书原件等；

3、  股东离婚

（ 1 ）填写妥当的《股东信息核查表》原件一份（格式见附表 1 ，表格请于核查现场领取、填写）；

（ 2 ）原湖南省证券登记公司发放的证券账户卡（黄卡）原件及一份复印件；

（ 3 ）分得股份的股东身份证原件 * 及一份复印件；

（ 4 ）股东前配偶身份证原件 * 及一份复印件；

（ 5 ）股东与前配偶夫妻（离婚）关系证明原件 * 及一份复印件；

（ 6 ）与股份有关的法院判决书、调解书等生效司法文书原件 * 及一份复印件，或者经公证的财产分割协议原件等；

4.  Shareholder imprisoned

（ 1 ) One original copy of the 1 ，表格请于核查现场领取、填写）；

（ 2 ）原湖南省证券登记公司发放的证券账户卡（黄卡）原件及一份复印件；

（ 3 ）股东本人身份证原件 * and one copy, or original document proving shareholder's identity issued by labor camp, prison, or public security department;

（ 4 ) Original proof of shareholder's imprisonment * and one copy (e.g., People's Court judgment, execution notice, incarceration notice, etc.);

（ 5 ) Original ID card of the agent * and one copy, and provide one original notarized power of attorney (format in appendix 2 ）；

5.  Shareholder settled or emigrated overseas (including Hong Kong, Macao, and Taiwan regions)

（ 1 ）填写妥当的《股东信息核查表》原件一份（格式见附表 1 ，表格请于核查现场领取、填写）；

（ 2 ）原湖南省证券登记公司发放的证券账户卡（黄卡）原件及一份复印件；

（ 3 ) Original proof of shareholder identity * and one copy, including:

n  Foreigners: Passport, nationality certificate;

n  Hong Kong / Macao residents: Permanent Resident Identity Card; Mainland Travel Permit for Hong Kong and Macao Residents or Permit for Hong Kong and Macao Residents to Enter Mainland or Passport of the Hong Kong Special Administrative Region of the People's Republic of China / Macao Special Administrative Region;

n  Taiwan residents: Taiwan Compatriot Travel Document or Travel Document of the People's Republic of China issued by our embassies or consulates abroad with the annotation

（ 4 ) Original notarized certificate from the notarization authority in the shareholder's place of residence (proving shareholder's name, nationality, occupation, address, etc.), including:

n  Foreigners: The notarized certificate must be authenticated by the Ministry of Foreign Affairs of the country of residence or other official institutions designated by the Ministry of Foreign Affairs for authentication, and by our embassy or consulate in that place;

n  Hong Kong residents: Certificate of shareholder identity issued by a Hong Kong lawyer (i.e., entrusted notary) and confirmed by the

n  Macao residents: Certificate of shareholder identity issued by the Identification Services Bureau of the Macao Special Administrative Region Government;

n  Taiwan residents: Notarized certificate of shareholder identity sent by the Straits Exchange Foundation;

（ 5 ) If handled by an agent, the original ID card of the agent must also be provided * and one copy, and provide a power of attorney authenticated by our embassy or consulate in that place or by an entrusted lawyer or notary office / original witnessed power of attorney.

6.  Share Transfer

（ 1 ) One original copy of the 1 ，表格请于核查现场领取、填写）；

（ 2 ）原湖南省证券登记公司发放的证券账户卡（黄卡）原件及一份复印件；

（ 3 ) Original ID card of the transferee * 及一份复印件；

（ 4 ) Original share transfer agreement personally signed by both buyer and seller, notarized by a notarization authority, and original notarized certificate, etc.

 

(II)  股东信息核查须提供文件 / Information List (Non-natural person shareholder)

Note: ( 1 ) In the following list, mark with * ”所示原件仅供审查之用，验完即退；

（ 2 ) If two or more conditions are met simultaneously, documents required for all applicable conditions must be provided.

Document List (All copies must be stamped with official seal)

（ 1 ) One original copy of the duly completed 3 ）；

（ 2 ）原湖南省证券登记公司发放的证券账户卡（黄卡）原件及一份复印件；

（ 3 ) Original business license or institutional legal person certificate or social organization legal person registration certificate or other non-natural person shareholder registration documents that have passed the most recent annual inspection * and one copy;

（ 4 ) Original Organization Code Certificate * and one copy;

（ 5 ) One original notarized power of attorney (format in appendix 4 ）；

（ 6 ) If shares were acquired through transfer but the transfer procedures have not yet been completed, an original share transfer agreement signed by both buyer and seller and notarized by a notarization authority, and an original notarized certificate, etc., must also be provided.

Note:

（ 1 ) If the shareholder's name on the equity certificate does not match the shareholder's current name, the 5 ) must be filled out and relevant supporting documents provided, such as historical name change documents, share transfer agreements, restructuring approvals, court judgments, equity transfer documents, etc.

（ 2 ) If the shareholder is a branch company without legal personality, relevant information of its parent company must be provided.

（ 3 ) If the company shares held by the shareholder are subject to pledge, freeze, litigation, arbitration, disputes, or potential disputes, a statement of the situation and relevant supporting documents must be provided.

（ 4 ) If the shareholder is currently undergoing restructuring, in addition to providing supporting documents, a statement on the progress of the restructuring must also be provided.

（ 5 ) If the shareholder is in bankruptcy or liquidation proceedings, relevant documents issued by the court or competent authority regarding its bankruptcy or liquidation, and a brief explanation from the liquidation group on the company's bankruptcy or liquidation status, must be provided.

（ 6 ) If the shareholder has been revoked or deregistered, documents of revocation or deregistration from the Administration for Industry and Commerce must be provided, along with documents indicating that the company shares held by them have been transferred / auctioned / transferred / or pledged to other parties as debt settlement, and the new transferee of the company shares must provide supporting documents.

 

(III)  Handling of other special circumstances

（ 1 ) If a natural person shareholder's ID card is lost, a temporary ID card or household registration certificate can be used as a substitute.

（ 2 If any item of the name or ID number on the natural person shareholder's ID card changes, a change certificate issued by the household registration police station must be provided (ID number from 15 position to 18 excluding position), needs to fill in the 5 )).

（ 3 If the original copies of the corporate shareholder's business license, or institutional legal person certificate, or social group legal person certificate, or organization code certificate, and other subject qualification certificates are lost, relevant subject qualification certificates issued by the issuing authority must be provided.

（ 4 If any item of the institution name or certificate number on the corporate shareholder's business license, or institutional legal person certificate, or social group legal person certificate, or organization code certificate, and other subject qualification certificates changes, a change certificate issued by the issuing authority must be provided, and the 5 )).

（ 5 If the same shareholder has multiple shareholding records in the equity holder roster, original and copies of all securities account cards (yellow cards) issued by the former Hunan Provincial Securities Registration Company must be provided, and the 6 ).

（ 6 If the shareholder's securities account card (yellow card) is damaged or lost, natural person shareholders also need to personally fill in the 6 ).
